NetBiznes FlowHub Terms of Service

§1. General Provisions

  1. These Terms set out the rules for using the NetBiznes FlowHub internet service available at https://netbiznes.com (hereinafter: "Service"), including the provision of services by electronic means, the terms of sale of Digital Products, and the operation of the Partner Programme.
  2. The Service is a marketplace platform enabling the sale and purchase of Digital Products.
  3. The owner and administrator of the Service is: Sandra Madalińska-Piórkowska, ul. Kossutha 8/26, 01-315 Warszawa, conducting non-registered business within the meaning of Art. 5 of the Entreśćśćpreneurs' Law (hereinafter: "Administrator").
  4. Contact with the Administrator is possible by e-mail at kontakt@netbiznes.com or in writing to the address given in point 3.
  5. Use of the Service requires a device with internet access, an up-to-date browser supporting cookies, and an active e-mail address.

§2. Definitions

  1. Service – the NetBiznes FlowHub internet platform.
  2. User – any natural person, legal person, or organisational unit using the Service.
  3. Consumer – a natural person concluding with an entreśćśćpreneur (or a person conducting non-registered business) a legal transaction not directly related to their business or professional activity.
  4. Trader acting as consumer (TaC) – a natural person concluding a contract directly related to their business activity where the contract does not have a professional character for them.
  5. Buyer – a User (including Consumer or TaC) purchasing a Digital Product, whether or not they have an Account on the Service.
  6. Seller – a User with an Account on the Service offering Digital Products for sale.
  7. Partner – a User with an Account on the Service participating in the Partner Programme and recommending Digital Products.
  8. Digital product – digital content not supplied on a tangible medium (e.g. e-book, course, template, software) offered on the Service.
  9. Account – the User's individual profile on the Service.

§3. Electronically Supplied Services and User Account

  1. Creating and maintaining an Account on the Service is free and voluntary.
  2. An Account is not required to purchase a Digital Product. The Buyer may place an order by providing only the e-mail address necessary to process the transaction and deliver the Product.
  3. Creating an Account is mandatory for Users who wish to sell Digital Products (Sellers) or participate in the Partner Programme (Partners).
  4. The contract for the provision of services by electronic means (Account maintenance) is concluded for an indefinite period upon confirmation of registration.
  5. The User may at any time, without giving reasons, delete their Account by sending a request to the Administrator's e-mail or using the relevant option in the Account panel.

§4. Purchasing Digital Products

  1. Any User may purchase Digital Products. For purchases without registration, the Buyer must provide a valid e-mail address.
  2. Product prices are given in Polish zlotys (PLN). Due to the Administrator conducting non-registered business, VAT is not added to prices (gross equals net), unless a given Seller adds VAT on their own – this is stated in the Product description.
  3. Payment is made before access to the Digital Product is granted, via integrated external payment operators.
  4. The contract for the supply of the Digital Product is concluded at the time of successful payment authorisation.
  5. The Digital Product is made available to the Buyer by sending a unique access link to the e-mail address given when ordering or by making the file available for download in the Account panel (for logged-in Users) without delay after the payment is credited.
  6. Purchase of a Digital Product grants the Buyer a non-exclusive licence to use it for personal use only. Resale, distribution, or modification without the creator's consent is prohibited.

§5. Selling Digital Products and Partner Programme

  1. To become a Seller or Partner, the User must create an Account and activate the relevant functions in the User panel.
  2. The Seller represents and warrants that they hold full copyright or appropriate licences to the offered Digital Products and that they do not infringe third-party rights.
  3. The Administrator charges a commission on each completed transaction in accordance with the current Sellers' Price List.
  4. The Partner Programme allows Partners to earn commission for recommending Products using unique affiliate links.
  5. Payouts of accumulated funds to Sellers and Partners are made to the designated bank account after exceeding the minimum payout threshold of 50 PLN. The Seller/Partner is solely responsible for tax settlement of income obtained in this way under applicable law.

§6. Withdrawal from the Contract

  1. Consumers and Trader acting as consumer (TaC) generally have the right to withdraw from a distance contract within 14 days.
  2. Loss of right of withdrawal: Under Art. 38(1)(13) of the Consumer Rights Act, the right to withdraw from a contract for the supply of digital content not supplied on a tangible medium does not apply if performance (making the file/link available) has begun with the Consumer's (or TaC's) express prior consent, and they were informed before performance began that they would lose the right to withdraw.
  3. When placing an order, the Buyer may voluntarily tick consent to immediate supply of the digital content before the expiry of the 14-day withdrawal period. Ticking this consent results in loss of the right of return.
  4. Failure to give the above consent results in the Administrator/Seller withholding delivery of the Digital Product for 14 days from the conclusion of the contract.
  5. All consents and confirmation of conclusion of the contract are sent to the Buyer by e-mail on a durable medium, whether or not the Buyer has an Account on the Service.

§7. Non-Conformity of the Digital Product with the Contract (Complaints)

  1. Complaints regarding the operation of the Service and Digital Products may be submitted to: kontakt@netbiznes.com.
  2. The provisions of the Consumer Rights Act on non-conformity of the Digital Product with the contract apply to Consumers and TaC.
  3. In the event of non-conformity of the Digital Product with the contract, the Consumer may first request that it be brought into conformity with the contract.
  4. A complaint should include the Buyer's e-mail address, order number, and description of the problem. Complaints are processed within 14 days of receipt.

§8. Liability

  1. The Service provides the technical infrastructure for concluding contracts between Buyers and Sellers.
  2. The Seller is solely liable for the Digital Products they offer, their conformity with the description, and legal defects.
  3. The Administrator ensures the proper operation of the Service but is not liable for interruptions in access due to force majeure or the need to carry out technical work.

§9. Personal Data

  1. The Administrator of Users' personal data is the Service Administrator.
  2. Personal data is processed for the purpose of fulfilling orders (including as a guest), maintaining Accounts, and settlements under the Partner Programme, in accordance with GDPR.
  3. Detailed information on purposes and Users' rights is set out in the Privacy Policy.

§10. Final Provisions

  1. The Administrator reserves the right to amend the Terms for important legal or technical reasons. Users with an Account will be notified of changes by e-mail 14 days in advance.
  2. Polish law applies to matters not covered herein.
  3. Any disputes with Consumers or TaC will be resolved by the courts with local jurisdiction for the Consumer/TaC.
